Your Services Provider
The entity providing the Services is Resourceplan Solution Pvt. Ltd., a corporation operating under the laws of India, located at 45, Guru Jambeshwar Nagar A, Gandhi Path, Vaishali Nagar, Jaipur, India 302021.
1.1. To access and use the Services, you must create an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and are fully responsible for all activities that occur under your account.
1.2. By subscribing to the Services, you agree to pay the applicable subscription fees as set forth on our website. Subscription fees are non-refundable unless otherwise stated.
1.3. Upon successful payment, you will receive credits that can be used to perform automations on the Platform. These credits are non-transferable and non-refundable.
2.1. Credits are required to perform automations on the Platform. Each automation consumes a specific number of credits, as indicated on the Platform.
2.2. If you do not have sufficient credits to perform an automation, you will be unable to initiate the automation until you purchase additional credits.
2.3. You may also have the option to purchase additional credits within the Platform. The pricing and availability of credits for purchase may be subject to change at our discretion.
2.4. Any credits purchased or obtained through in-platform purchases will be subject to the same expiration period as credits obtained through subscriptions.
3.1. All credits obtained through subscriptions or in-platform purchases have an expiration period of 60 days from the date of acquisition.
3.2. Unused credits will automatically expire after the 60-day period, and no refund or compensation will be provided for expired credits.
4.1. You agree to use the Services in compliance with all applicable laws and regulations. You shall not use the Services for any illegal, harmful, or unauthorized purposes.
4.2. You shall not engage in any conduct that could disable, overburden, or impair the proper functioning of the Services or interfere with any other party's use of the Services.
4.3. You shall not attempt to gain unauthorized access to any part of the Services, other user accounts, or any computer systems or networks associated with the Services.
5.1. The Services, including all content, features, and functionality, are owned by EngagexAI and protected by intellectual property laws. You may not modify, reproduce, distribute, or create derivative works of the Services without our prior written consent.
6.1. Our Service allows you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material. You are responsible for the Content that you post on or through the Service, including its legality, reliability, and appropriateness.
6.2. By posting Content on or through the Service, you represent and warrant that: (i) the Content is yours (you own it) and/or you have the right to use it and the right to grant us the rights and license as provided in these Terms, and (ii) the posting of your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person or entity. We reserve the right to terminate the account of anyone found to be infringing on a copyright.
6.3. You retain any and all of your rights to any Content you submit, post, or display on or through the Service, and you are responsible for protecting those rights. We take no responsibility and assume no liability for the Content you or any third party posts on or through the Service. However, by posting Content using the Service, you grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service. You agree that this license includes the right for us to make your Content available to other users of the Service, who may also use your Content subject to these Terms. EngagexAI has the right but not the obligation to monitor and edit all Content provided by users.
6.4. To opt out of EngagexAI using your Content for any reason, email admin@engagexai.com from the address linked to your EngagexAI account. State clearly you do not consent to the use of your Content. We will then not use it without your written consent. Without opt-out, we retain the license to use Content as promotional case studies.
6.5. Users of services provided by EngagexAI may also use our artificial intelligence technology or copywriting services to obtain new Content. If this is your case, you are responsible for using this Content and will be responsible for ensuring that this content does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person or entity.
6.6. In certain use cases, our artificial intelligence may create content that is deemed inappropriate or offensive. EngagexAI will not be held legally responsible if that happens.
6.7. When you upload or post content to our Applications, you confirm that you:

You warrant that any such contribution by you (by uploading your content to our Applications) complies with these terms, and you will be liable to us and indemnify us for any breach of this warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.
6.9. We also have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to our Applications constitutes a violation of their intellectual property rights, or of their right to privacy.
7.1. Limitation of Liability
You expressly understand and agree that, to the maximum extent permitted by applicable law, EngagexAI and its suppliers shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if EngagexAI has been advised of the possibility of such damages), arising out of or in connection with:
(a) the use or the inability to use the Services; (b) any unauthorized access to or alteration of your transmissions or data; (c) statements or conduct of any third party on the Services; (d) any other matter relating to the Services.
The Services are provided on an as is and as available basis. EngagexAI does not warrant that the Services will be uninterrupted, timely, secure, or error-free, nor does it make any warranty as to the results that may be obtained from the use of the Services.
7.2. Indemnification
You agree to indemnify, defend, and hold harmless EngagexAI, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of this Agreement or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the Services using your account.
This indemnification obligation will survive the termination of this Agreement and your use of the Services.
7.3. No Warranties
EngagexAI makes no warranties, express or implied, including, without limitation, those of merchantability and fitness for a particular purpose, with respect to the Services. No oral or written information or advice given by EngagexAI or its authorized representatives shall create a warranty.
7.4. Content Disclaimer
EngagexAI is not responsible for any content generated by users of the Services, including but not limited to video content, comments, or any other form of content. EngagexAI does not endorse any such content and expressly disclaims any and all liability in connection with user-generated content.
7.5. Earnings Disclaimer
EngagexAI does not guarantee that users will earn any specific amount of revenue or achieve any specific results by using the Services. Any statements about potential earnings or success made by other users, influencers, or third parties are their own and not verified or endorsed by EngagexAI. Reliance on such statements is at your own risk.
8.1. We may terminate or suspend your access to the Services, without prior notice or liability, for any reason whatsoever, including, without limitation, breach of this Agreement.
8.2. Upon termination, all rights and licenses granted to you under this Agreement will immediately cease, and you must cease all use of the Services.
9.1. We reserve the right to modify or replace this Agreement at any time. Any changes will be effective immediately upon posting the revised Agreement on the Platform.
9.2. Your continued use of the Services after any such changes constitutes your acceptance of the revised Agreement.
10.1. EngagexAI is not responsible for any content, including earnings claims or representations, made by any user, influencer, or third party, even if they are promoting or discussing EngagexAI.
10.2. Users and influencers may share their own experiences, testimonials, or earnings, which are solely their personal statements and have not been verified or endorsed by EngagexAI. Such content reflects the individual's personal results and experiences, which may not be typical or expected for every user.
10.3. EngagexAI makes no guarantees regarding the accuracy, reliability, or completeness of any third-party content, including any claims of potential earnings or results from using the Services.
10.4. By using the Services, you agree that EngagexAI is not liable for any content posted by users, influencers, or third parties, and you will not hold EngagexAI responsible for any reliance on such content.
10.5. You acknowledge that any decision to use the Services based on statements made by third parties is taken at your own risk, and EngagexAI is not liable for any outcomes of such decisions.
EngagexAI may use third-party Service Providers to monitor and analyze the use of our Service.
